February 2013 - We now have reports that the "Notice of Annual Minutes Compliance" scam is in circulation in Oregon. We want small businesses to be aware of these schemes and to know the facts about required corporate record keeping in Oregon.
While corporations are required to maintain records and hold annual meetings of shareholders, these records and minutes are not filed with the Secretary of State Corporation Division, and no fee is required by the State of Oregon. The "Notice of Annual Minutes Compliance solicitation is designed to look like an official government notice, makes reference to Oregon laws and warns of consequences of non-compliance to trick busy business owners into sending hundreds of dollars for a worthless boilerplate form/service.
